These GTC apply to all services provided by Moodia Software & Solutions GmbH, Moselring 5-7a, 56068 Koblenz, Germany (hereinafter the "Provider") in connection with the "Wiresphere" platform — in particular the use of the master modules, the Wiresphere Cloud, the Marketplace and enterprise services. They are addressed exclusively to entrepreneurs. Conflicting terms and conditions of the customer shall apply only with the Provider's express written consent.
The presentation of the services on the website does not constitute a binding offer. The contract is concluded upon confirmation of the order or activation of the service. Certain services require a user account; access credentials must be kept confidential.
Upon purchase, the customer receives a simple, non-transferable right to use the respective feature/script for the licensed application. Scope, term and remuneration are set out in the respective offer. For modules from third-party providers, the license agreement is concluded with the respective publisher; the Provider brokers the transaction and handles licensing and auto-updates technically. Updates are provided via versioned channels with compatibility checks; a rollback is possible per module.
Developers may submit extensions to master modules as well as standalone new modules for certification and, after passing the review (type check, compatibility and quality review), distribute them via the Marketplace — free of charge or against a license fee with a revenue share pursuant to a separate publisher agreement; the obligation to publish to the community is thereby deemed fulfilled. The publisher grants the Provider the rights required for review, distribution and auto-update. Without acquiring the Enterprise SDK (dual licensing), the obligation to publish under Section 2 applies to extensions to the modules; developments under the Enterprise SDK are exempt from this and may remain private.
All prices are net prices plus statutory value-added tax. Recurring fees (e.g. cloud infrastructure, monthly licenses) are charged from activation and are due as invoiced.
The Provider renders cloud services with the care customary in the industry. Specific availability commitments (SLA) exist only under the Enterprise plan pursuant to a separate agreement. Maintenance windows are announced in advance where possible; live composition allows module updates without downtime.
For the free services (Open Source Core, free master module base features), the Provider is liable only for intent and gross negligence. In all other respects, the Provider is liable without limitation in cases of intent, gross negligence and injury to life, body or health; in the event of slightly negligent breach of material contractual obligations, liability is limited to the foreseeable damage typical for this type of contract. Liability under the German Product Liability Act remains unaffected.
Unless otherwise agreed, monthly licenses and cloud services may be terminated on a monthly basis. The right to extraordinary termination for good cause remains unaffected. After the end of the contract, the Provider ensures exit capability: the customer's data and source code remain the customer's property and will be provided in common formats upon request.
Information on the processing of personal data can be found in the Privacy Policy. Where the Provider processes data on behalf of the customer, the parties will conclude a data processing agreement pursuant to Art. 28 GDPR.
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is — where permissible — Koblenz. Should individual provisions be invalid, the validity of the remaining provisions shall remain unaffected.
